1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the website www.abchem.co.in ("Website") and the purchase of products and services from AB Chem India ("AB Chem", "we", "us", "our") โ€” a partnership firm registered in India with its principal place of business at Balanagar, Hyderabad, Telangana, India. By accessing the Website or placing an order, you ("Customer", "you") agree to be bound by these Terms.

2. Eligibility & Intended Use

AB Chem is a business-to-business (B2B) supplier of chemicals, Active Pharmaceutical Ingredients (APIs), intermediates, impurities and reference standards. Products are sold strictly for research, analytical, manufacturing or further-processing use by qualified institutional buyers including pharmaceutical companies, contract research organisations, academic and government laboratories, and licensed manufacturers.

3. Products, Specifications & Documentation

Product descriptions, structures, CAS numbers, purity values and other technical details are provided in good faith based on the latest available data. Minor variations in physical appearance, batch-to-batch potency and analytical values are normal for chemical substances and do not constitute a defect. The authoritative specification for any consignment is the Certificate of Analysis (CoA) supplied with that specific batch.

4. Orders, Quotations & Acceptance

Listings on the Website constitute an invitation to offer, not a binding offer of sale. An order is accepted only when AB Chem issues a written order confirmation or proforma invoice. We reserve the right to refuse, cancel or limit any order at our sole discretion, including (without limitation) where the product is out of stock, mispriced, restricted in your jurisdiction, or where the buyer's identity or intended end-use cannot be verified.

5. Pricing, Taxes & Payment

Prices displayed on the Website are quoted in Indian Rupees (INR) unless stated otherwise and are exclusive of GST, freight, insurance, customs duties and statutory levies, which will be added at the applicable rate on the invoice. International orders are quoted separately on request and are typically settled by wire transfer in USD/EUR.

Accepted payment methods include online payment via our payment gateway (where enabled), NEFT/RTGS/IMPS bank transfer, UPI, and other methods notified at checkout. Goods remain the property of AB Chem until payment is received in full and cleared.

8. Account & Security

If you register an account on the Website you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use. We reserve the right to suspend or terminate accounts that breach these Terms or engage in fraudulent, abusive or unlawful behaviour.

9. Intellectual Property

All content on the Website โ€” including text, logos, product descriptions, chemical structures rendered by us, photographs, code and design โ€” is owned by or licensed to AB Chem and is protected by Indian and international intellectual-property laws. You may not reproduce, redistribute, scrape, mirror, frame, or use any content for commercial purposes without our prior written consent. CAS Registry Numbersยฎ are the property of the American Chemical Society and are used here for identification only.

10. Regulatory & Export Compliance

Many products listed on the Website are subject to controls under the Drugs & Cosmetics Act, Narcotic Drugs and Psychotropic Substances Act, Foreign Trade (Development & Regulation) Act, SCOMET regulations, and equivalent foreign legislation. It is the Customer's sole responsibility to obtain any licences, permits or authorisations required for import, possession, handling, use or onward sale in the destination country. AB Chem will not be liable for any seizure, refusal of clearance or penalty arising from the Customer's non-compliance.

11. Safety & Handling

Chemicals supplied by AB Chem may be hazardous if mishandled. The Customer agrees to read the applicable Safety Data Sheet (SDS) prior to use, to provide adequate safety training to personnel, and to use appropriate engineering controls and personal protective equipment. The Customer assumes all risk associated with the receipt, storage, handling, use and disposal of the products.

12. Warranties & Limitation of Liability

AB Chem warrants that products supplied will conform to the specifications stated on the accompanying CoA at the time of delivery. To the maximum extent permitted by law, all other warranties โ€” express, implied or statutory, including merchantability and fitness for a particular purpose โ€” are excluded.

In no event shall AB Chem's aggregate liability arising out of or in connection with any order exceed the invoice value of the product giving rise to the claim. AB Chem shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profit, loss of data, business interruption, or third-party claims, regardless of the cause of action.

13. Indemnification

You agree to indemnify, defend and hold harmless AB Chem, its partners, employees and agents from and against any and all claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your use, handling, storage or disposal of the products, or (c) your violation of any applicable law or regulation.

14. Force Majeure

AB Chem shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including acts of God, pandemic, war, terrorism, civil unrest, government action, strikes, raw-material shortages, power or internet outages, carrier delays, or natural disasters.

15. Third-Party Services

The Website may rely on third-party services for payment processing, shipping, analytics and structure rendering. AB Chem is not responsible for the acts, omissions, content or policies of any third party. Your use of such services is governed by their respective terms.

16. Modifications

We may revise these Terms from time to time. The revised version will be posted on this page with an updated "Last updated" date and will take effect immediately. Your continued use of the Website after a revision constitutes acceptance of the updated Terms.

17. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of India. Subject to the Arbitration and Conciliation Act, 1996, all disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India.
